NAEPC SITE USE AGREEMENT
Using the Site is your acceptance of the terms and conditions of the NAEPC Site Use Agreement. If you do not agree with all the terms and conditions herein, you should promptly exit this site. This NAEPC Site Use Agreement represents the entire agreement concerning the NAEPC Site Use Agreement between you and NAEPC and supersedes any prior proposal, representation, or understanding between the parties.
NAEPC hereby grants to you, and you accept by using the Site, a nonexclusive Limited Site License to use the Site. You agree that you will not assign, sublicense, transfer, pledge, lease, rent, or share your rights under this Limited Site License Agreement. You agree that you may not reverse assemble, reverse compile, or otherwise translate any of the software on the Site, or use any of the content on the Site for commercial means without the express written consent of NAEPC.
NAEPC reserves the right to terminate your use of the Site in the event any of your activities are in breach of this Agreement. Termination of this Agreement automatically terminates your authorization to use the Site.

LIMITATION OF LIABILITY
NAEPC’s cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this Agreement shall not exceed the license fee paid to NAEPC by you for the use of the Site. IN NO EVENT SHALL NAEPC; VALENTINO SABUCO, CFP®, AEP®, NOVERUS, INC., OR ANY OTHER CONTENT CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES OR LOST PROFITS WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, OR TORT, EVEN IF NAEPC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
GOVERNING LAW
This License Agreement is governed by the laws of Ohio, without giving effect to conflicts of law rules.
